These terms govern a clinic's use of the MTS Revenue Infrastructure (the “Service”). By creating an account or using the Service, a clinic agrees to these terms. MTS is currently operated pre-incorporation, ahead of our first client, see Privacy Policy.
1. The Service
MTS provides revenue infrastructure and administrative automation for dental clinics: the AI SDR, AI Receptionist, Appointment Reminder, Recall, Reviews, and related agents, plus the dashboard used to configure and monitor them. MTS does not provide medical advice, and nothing in the Service should be read as clinical guidance.
2. Accounts
A clinic account is provisioned by MTS for the clinic's staff. A clinic is responsible for the accuracy of the information it provides and for maintaining the confidentiality of any credentials issued to its staff.
3. Customer Responsibilities
- Obtaining any consent required from its own patients before enabling communications such as SMS, email, or AI follow-up calls.
- Keeping clinic configuration, business hours, and service information accurate and current.
- Using the Service in a manner consistent with applicable law and these terms.
4. Acceptable Use
A clinic agrees not to use the Service to send unlawful, harassing, or misleading communications, to misrepresent an AI agent as a licensed healthcare professional making clinical decisions, or to attempt to access another clinic's data.
5. Integrations
The Service can connect to a clinic's existing CRM, scheduling system, phone system, and communication tools. A clinic is responsible for the accuracy of any credentials it provides for these connections, and for its own relationship with those third-party providers.
6. AI-Generated Communications
Some communications sent through the Service are generated or assisted by AI. Full detail on what the AI does and does not do lives on our AI Transparency Statement. The AI does not diagnose conditions, prescribe treatment, or provide clinical advice.
7. Human Oversight
Where the relevant functionality supports it, clinic staff can review, edit, take over, or stop an automated conversation. A clinic remains responsible for its own clinical decisions and for supervising the automations it enables.
8. Customer Data
As between MTS and a clinic, the clinic owns the data it and its patients provide through the Service. MTS processes that data to provide the Service, as described in the Privacy Policy and Data Processing Agreement.
9. Intellectual Property
MTS retains all rights to the Service, its software, and its underlying technology. A clinic retains all rights to its own brand, content, and patient relationships.
10. Third-Party Services
The Service relies on third-party infrastructure and communication providers, described on the Trust Center. MTS is not responsible for the acts or omissions of a third-party provider outside of our reasonable control.
11. Availability
MTS aims to keep the Service available and reliable, but does not guarantee uninterrupted availability. Maintenance, third-party outages, and unforeseen issues can affect access from time to time.

13. Fees
Fees and payment terms are set out in a clinic's individual service agreement with MTS, not in these general terms.
14. Confidentiality
Each party agrees to keep the other's confidential information confidential, and to use it only as needed to perform under these terms.
15. Disclaimers
The Service is provided on an as-is basis. MTS does not warrant that the Service will be error-free or that any AI-generated communication will be free of mistakes. A clinic remains responsible for reviewing and correcting automated communications where it identifies an error.
16. Limitation of Liability
To the extent permitted by law, MTS's liability arising from use of the Service is limited to the fees paid by the clinic for the Service in the period giving rise to the claim. Neither party is liable for indirect or consequential losses.
17. Termination
Either party can terminate a clinic's use of the Service in accordance with the clinic's individual service agreement. Following termination, MTS handles a clinic's data as described in the Data Retention Policy.
18. Changes to the Service
MTS can update or improve the Service over time. Material changes affecting a clinic's use of the Service will be communicated directly, and this page's “Last updated” date will reflect any change to these terms.
